SOUTHEAST AREA COOPERATIVE
BOARD OF DIRECTORS
Monday, August 19, 2019


A meeting of the Board of Directors of Southeast Area Cooperative was held on August 19, 2019 at the office of Southeast Area Cooperative, Beresford, South Dakota. The members of the Board of Directors present were: Jay Hallaway, Alcester‐Hudson School District (via phone); Chris Savey,
Beresford School District; Cherie Noteboom, Elk Point‐Jefferson School District; and Faydra Christensen, Viborg‐Hurley School District. Also present were Derek Barrios, Elk Point‐Jefferson School District; Ann Boden, Business Manager and Tricia West, Director, Southeast Area Cooperative.


Ann Boden called the meeting to order at 5:32 p.m. The Pledge of Allegiance was recited followed by introductions of board members and comments by Director Tricia West.


A motion was made by Chris Savey and seconded by Cherie Noteboom to adopt the agenda. All present voted yes. Motion carried.


Ann Boden requested nominations for president. A motion was made by Cherie Noteboom and seconded by Chris Savey to nominate Faydra Christensen for President. A motion was made by Chris Savey and seconded by Cherie Noteboom to cease nominations. All present voted yes. Motion carried. Faydra Christensen will serve as President for the 2019‐2020 year.


A motion was made by Faydra Christensen and seconded by Chris Savey to nominate Cherie Noteboom for Vice President. A motion was made by Chris Savey and Jay Hallaway to cease nominations. All present voted yes. Motion carried. Cherie Noteboom will serve as Vice President for the 2019‐2020 year.


It was determined that there were no existing conflicts of interest.


A motion was made by Chris Savey and seconded by Cherie Noteboom to approve the May 15, 2019 minutes. All present voted yes. Motion carried.


The financial report as prepared by the Business Manager was presented with the three month period being reviewed.

The following action in the General Fund was shown: Beginning Balance:
$388,301; Receipts from Local Sources: $146,224; Receipts from Federal Sources: $466,438; Disbursements of $611,261, and a Closing Balance of $389,702. A motion was made by Cherie Noteboom and seconded by Chris Savey to approve the financial report. All present voted yes. Motion
carried.


A listing of bills for June, July, and August 2019 was presented. A motion was made by Chris Savey and seconded by Cherie Noteboom to approve the payment of bills. All present voted yes. Motion carried.

Ann Boden gave a review of the 2019‐2020 budget that was recommended for approval by the Advisory Board. A motion was made by Cherie Noteboom and seconded by Jay Hallaway to approve the 2019‐2020 budget. All present voted yes. Motion carried.


There were no actions of the SILDL governing board to report.


The board discussed meeting dates and times for the Board of Directors for 2019‐2020. A motion was made by Chris Savey and seconded by Cherie Noteboom to set meeting times as 5:30 p.m. and dates of November 20, 2019, February 19, 2020, and May 20, 2020. All present voted yes. Motion
carried.


A motion to approve the updates and/or additions to the Nondiscrimination; Equal Opportunity Employment; Staff Ethics; Staff Conduct; Employee Use of Social Networking Sites; Ethical Use of
District, Public, or Private Technology Resources; and General Reference policies as recommended by the Advisory Board was made by Chris Savey and seconded by Jay Hallaway. All present voted yes. Motion carried.


A motion was made by Jay Hallaway and seconded by Cherie Noteboom to ratify the following for the 2019‐2020 school year:
 Designate Roberts Rules of Order as guide/reference for meetings
 Premier Bank to act as the official depository for the Cooperative and that the following institutions be approved for investment depositories: Cortrust Bank of Gayville, Farmer’s State Bank of Canton, First Bank and Trust of Canton, First Dakota National Bank of Beresford and Elk
Point, First Premier Bank of Wakonda, First Savings Bank of Beresford, Great Western Bank of Canton, Liberty National Bank of Elk Point, Merchant’s State Bank of Viborg, Hurley, and Irene, Premier Bank of Alcester and Hudson, Security Savings Bank of Canton, Wells Fargo of Beresford and Viborg, and SD Public Funds Investment Trust (FIT).
 Designate the Beresford Republic as the official newspaper of Southeast Area Cooperative, notification of special meetings
 Appoint Ann Boden as Business Manager; declare Ann Boden, Business Manager as legal signature for all cooperative reports (social security, payroll, insurance, etc.) and authorize use of the president signature stamp
 Declare Tricia West as authorized signature for all grants and grant application made for the cooperative
 Set legal bond for the business manager and all other employees
 Authorize approval of purchases by the business manager and director to the legal bid limit of $25,000.00
 Authorize Tricia West to authorize collaboration agreements between Universities and training programs for 2019‐2020
 Authorize direct deposit payments for payroll and accounts payable with proper documentation
 An attorney not be retained, but to utilize Swier Law Firm when a need arises
 Appoint Tricia West as Title IX Coordinator, Section 504 Coordinator, and American with Disabilities Act Coordinator for 2019‐2020
 Approve the submission of the Carl Perkins application for 2019‐2020
 Approve the submission of the IDEA application for 2019‐2020
 Adopt the 2019‐2020 policy manual
 Establish substitute pay at $100 per day for certified staff and $10.50 per hour for classified staff
 Approve publication of cooperative salaries for 2019‐2020
All present voted yes. Motion carried.
A motion was made by Cherie Noteboom and seconded by Chris Savey to ratify the actions of the Advisory Board from the June 2019 and July 2019 meetings and to take action on the following consent agenda items:
 Declare items surplus
 Approve SILDL contract for Jason Selchert
 Approve budget supplements and amendments
 Approve resignation of Stacie Carlson
 Approve hire of BreAnn Morris, Alyssa Scott, and Candace Zweifel
 Approve Birth to Three bonuses
All present voted yes. Motion carried.


There was no public input.


Tricia West presented the Leadership Team report which included:
 Review of Kindergarten Academy which was held in June.
 Review of Paraeducator training which was held August 7th.
 Review of Southeast Area Cooperatives goals for 2019‐2020.
 The SAC staff school assignments were shared with board members.
 New SPED staff training will be held September 4th.
 Viborg‐Hurley and Canton will have SPED reviews this school year.
A motion was made by Chris Savey and seconded by Cherie Noteboom to adjourn the meeting.
All present voted yes. Motion carried.

Meeting adjourned at 5:58 p.m. The next meeting of the Board of Directors will be November 20, 2019.
